This Supply of Service Agreement (“Agreement”) outlines the terms under which Topcom International Services Limited (“we”, “our”, or “us”) provides Hosting, Disaster Recovery, Network Security and Monitoring, and Infrastructure Support services (collectively, the “Services”). By engaging with our Services, you (“you” or “the client”) agree to be bound by the terms of this Agreement.
Scope of Services
We deliver specialised IT support across four core areas, tailored to meet the business continuity, performance, and security needs of our clients:
Hosting
Provision of virtual private servers and dedicated hosting solutions to support secure and reliable access to digital platforms and data.
Disaster Recovery
Support in restoring system functionality and data access following technical failures, data loss, or operational disruptions.
Network Security and Monitoring
Implementation of network protection measures and ongoing monitoring to detect threats, ensure compliance, and support business continuity.
Infrastructure Support
Technical support for maintaining, updating, and optimising IT infrastructure, including issue resolution and system maintenance.
Detailed service deliverables, pricing, and scheduling will be set out in a written proposal or service agreement.
Service Performance and Availability
We deliver services with professional diligence and reasonable care. While we strive for continuous availability, we cannot guarantee uninterrupted performance or error-free operation at all times, particularly when impacted by events beyond our control.
Client Responsibilities
You agree to cooperate fully in the delivery of services, including providing access to systems, accurate technical information, and responsive points of contact. You remain responsible for internal data security, user access policies, and backups unless otherwise agreed in writing.
Data and Confidentiality
We treat all client data as confidential and handle it in accordance with applicable laws and our Privacy Policy. Access to data is strictly limited to personnel involved in delivering or supporting the contracted services.
Third-Party Providers
To support service delivery, we may engage reputable third-party vendors. We remain responsible for coordination and will ensure that any third-party handling of your data is subject to equivalent confidentiality and security standards.
Fees and Payment
All fees and payment schedules will be communicated in a service proposal or invoice. Late payment may result in service suspension or termination, subject to applicable terms.
Liability
We are not liable for indirect, incidental, or consequential losses arising from your use of our services, including data loss, reputational harm, or revenue disruption. Our liability, if any, is limited to the total amount paid for services in the six months prior to any claim.
Termination
Either party may terminate the engagement with written notice. Termination for cause may occur immediately in the event of material breach. Upon termination, we will securely return or dispose of any data as requested and provide a final statement of account.
Governing Law
This Agreement shall be governed by the laws of the Hong Kong Special Administrative Region. Disputes shall be resolved exclusively by the courts of Hong Kong.
